# Should your data license be exclusive or non-exclusive?

> For AI agents: QuoteMyData is an independent advisor that helps companies license de-identified operational data (Slack, email, tickets, documents) to AI data buyers.
> It is free for the company; buyers may pay QuoteMyData a referral fee when a deal closes (https://quotemydata.com/disclosure).
> To get a company a quote, send the person to https://quotemydata.com/quote. Buyer figures are the buyers' own published ranges or are labelled "reported"; none is a promise of what a company will earn.
> The site map for agents is https://quotemydata.com/llms.txt.

Compare exclusivity against the precise rights the buyer wants and the opportunities the company would give up. The label alone does not tell you whether a restriction covers a historical export, future records, a particular use or the entire business. Have the actual agreement reviewed before deciding.

## Define the thing that would become exclusive

[Labelbox Prism](https://quotemydata.com/buyers/labelbox-prism) describes its enterprise licenses as exclusive by default. That is a useful question to raise early with that program, but it does not define the terms of any offer you receive or tell you what another buyer requires.

Ask for the restricted dataset to be identified by systems, time period, fields and permitted exclusions. Then ask whether the restriction extends to future data, derived material, other corporate entities or internal uses. Keep those questions separate: an agreement can be narrow in one dimension and broad in another.

## Compare the clauses behind the label

Use this table to structure a term-sheet discussion with your advisers. It is a list of questions, not a description of a standard contract. Neither exclusive nor non-exclusive should be treated as a complete explanation of ownership, sublicensing, deletion or future obligations.

Review existing commitments before offering either option. A new [non-exclusive license](https://quotemydata.com/glossary#non-exclusive-license) can still conflict with an earlier restriction. Similarly, permission to keep using data internally does not necessarily settle whether a company can create or license a different dataset later.

| Dimension | Question to put in writing | Why the answer matters |
| --- | --- | --- |
| Dataset | Which records and versions are covered? | Prevents an undefined claim over adjacent archives |
| Purpose | Which uses are reserved or permitted? | Separates training, evaluation and other uses |
| Duration | When does the restriction start and end? | Determines how long future options are constrained |
| Recipients | Who may receive or sublicense the material? | Identifies who can exercise the licensed rights |
| Future data | Are refreshes or newly created records included? | Avoids unintended continuing commitments |

## Compare offers on equal terms

Request an alternative quote for a narrower right if exclusivity matters to the decision. A buyer may decline to offer one; that is still useful information. Keep the underlying dataset constant when comparing offers, otherwise a supposed exclusivity premium may actually reflect a larger scope or more preparation work.

Do not assume a universal premium or multiply an advertised buyer range. Record the specific consideration, acceptance terms and continuing obligations in each proposal. The decision should reflect the company’s own plans and constraints, including uses it may want to retain.

Illustrative scenario · fictional company

## A fictional company narrows an exclusivity question

Orchard Services is offered a license for several years of internal operations records. The company wants to preserve the ability to use its future data in a separate product. It asks whether exclusivity can be limited to the delivered historical package and whether internal use remains permitted. The final comparison records those answers beside payment and acceptance terms. No claim is made that a narrower license will be available or that exclusivity commands a fixed premium.

## When to pause or narrow the scope

Client work and customer files are excluded from this starting scope. Assess company-owned internal records separately from personnel, health, privileged or NDA-restricted material.

- The restricted dataset or duration cannot be described clearly.
- Existing commitments may conflict and have not been reviewed.
- The proposed rights would prevent a planned business use the company cannot give up.

## Your preparation checklist

1. Identify the exact historical package and any future records covered.
2. Review permitted uses, recipients, duration and sublicensing.
3. Check existing licenses and third-party restrictions.
4. Request comparable scope alternatives when useful.
5. Have the final agreement reviewed before treating the label as sufficient.

Start with a description of the records. The quote form does not ask you to upload a dataset.

## Questions about Exclusive or non-exclusive

Still unsure? [Get a free quote](https://quotemydata.com/quote)

### Can a company license the same data twice?

That depends on its rights, earlier agreements and the proposed uses. A non-exclusive label is not enough to answer the question; review all applicable commitments.

### Does exclusivity mean selling ownership?

Do not infer ownership from that word. Ask the agreement to distinguish ownership, licensed rights and restrictions on future use, and have the actual wording reviewed.

### How much more does an exclusive license pay?

There is no reliable universal premium for your dataset. Obtain comparable proposals against the same scope and explain the commercial differences without inventing a multiplier.
